1. Participant acceptance
I understand that by signing (by hand or electronically, including via click-through) these Qiyada Virtual program participation terms (“Terms”), I am applying for and agreeing to participate in Qiyada Virtual program (“Program”) offered by McKinsey & Company, Inc., International (“McKinsey”). These Terms are a contract between McKinsey and me, and I understand that my application and participation in the Program is subject to my compliance with these Terms.
2. Application
By registering for the Program, I agree that the information that I provide as the applicant (“Information”) will be reviewed and made accessible to McKinsey and/or its affiliates. My application can be reserved, suspended, or terminated at any time as McKinsey finds it necessary, even after being successfully enrolled into Qiyada Virtual program.
3. Application process, criteria, and rejections
A. Application process
I understand that for registering in the Qiyada Virtual program, I need to meet each of the following requirements:
- meet the eligibility criteria of Qiyada Virtual program as indicated on the website
- submit certain required information and any additional requested information relating to my registration as indicated on the website
If an applicant submits intentionally incorrect or misleading information, the applicant may be disqualified from Qiyada Virtual program.
B. Registration rejections
You understand that you cannot use your personal email for registering in the Qiyada Virtual program and McKinsey is entitled to cancel any registration made through a personal email.
McKinsey is committed to working with individuals and organizations to identify the right candidates for the right programs. To this end, registrants who provide inaccurate information might be excluded from the program. McKinsey values diversity and aspires to offer a positive and inspiring experience to participants. Unsuccessful registrants may apply to other programs if they fulfill the eligibility and application criteria.
4. Privacy and data security
The information McKinsey collects through my registration in Qiyada Virtual program may be made available and reviewed by McKinsey and/or its affiliates and relevant third parties. I understand that, while McKinsey will use commercially reasonable technical and organizational measures to help secure all of my personal data against loss, misuse, and alteration, McKinsey cannot guarantee that loss, misuse, or alteration will not occur. If there is a breach of my data while in McKinsey’s possession, I understand that McKinsey will notify me in accordance with applicable statutory requirements.
5. Program benefits and time commitment
Once I register in Qiyada Virtual program, I agree to participate in the program benefits. I understand that the benefits in question relate to my personal development and growth and are not monetary or economic in nature. No other benefits or reimbursement of expenses (whether for travel, meals, accommodation, services, insurance, or otherwise) will accrue to me in connection with Qiyada Virtual program or my participation. I further understand that participation in Qiyada Virtual program requires a minimum time commitment. If I do not commit the time required to complete the program, I may not receive certain benefits as described above, and my participation may be terminated at McKinsey’s discretion.
6. Intellectual property
A. The name “Qiyada Virtual program” along with any created text, writings, images, templates, scripts, graphics, interactive features, trademarks, marks, and logos connected thereto (“Marks”), are developed, used by, associated with, and representative of an original program and service offering by McKinsey. The Marks and each of their elements are objects of intellectual property and are subject to legal protection under local legislation and international conventions.
B. I agree that McKinsey and McKinsey’s agents shall have a right to copy, edit, rearrange, transfer, translate, and/or reproduce my registration or any part thereof (redacted of my personal data) for the purposes of Qiyada Virtual program, including for advertising, promotion, publicity, broadcast, exhibition, distribution, or communication to the public in general about the program.
7. Use of McKinsey’s name
I agree that, without McKinsey’s prior consent in writing, I will not refer to McKinsey publicly or in communications with other parties (including, without limitation, in social-media posts, other places on the web, statements to the press, et cetera), except that I may mention my participation in Qiyada Virtual Program in my privately distributed résumé.
8. Termination
- I have breached any applicable law(s) while participating in Qiyada Virtual program;
- I submitted intentionally incorrect or misleading information as part of my application
- I did not commit the time required to complete the program
- I have violated these Terms
- McKinsey believes that any of my actions could harm McKinsey’s reputation or business interests, at its sole and unfettered discretion
In the event of termination, McKinsey will strive to provide me with a timely explanation; however, McKinsey is not required to do so.
All provisions of these Terms that, by their nature, should survive termination shall survive termination for any reason.
9. LIMITATION OF LIABILITY, REPRESENTATIONS, AND WARRANTIES
A. Qiyada Virtual program AND ASSOCIATED BENEFITS ARE PROVIDED “AS IS,” “WITH ALL FAULTS,” AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
B. To the maximum extent permitted by applicable law, in no event will McKinsey, its affiliates, or its or their respective directors, officers, owners, employees, contractors, representatives, consultants, agents, suppliers, or licensors be liable for any direct, indirect, special, incidental, moral, exemplary, punitive, or consequential loss or damage (including but not limited to loss of money, goodwill, reputation, profits, or other intangible losses) or any other loss or damage of any kind arising out of or in connection with Qiyada Virtual program, my registration and/or participation in Qiyada Virtual program, or the collection, use, sharing, processing, and/or transfer of my personal data, whether the claim is based in contract, tort (including negligence), strict liability, warranty, or any other legal theory.
C. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MY SOLE AND EXCLUSIVE REMEDY IS TO CEASE MY PARTICIPATION IN Qiyada Virtual program.
D. WITHOUT LIMITING THE FOREGOING, IN NO EVENT WILL MCKINSEY’S AGGREGATE LIABILITY HEREUNDER OR IN CONNECTION WITH Qiyada Virtual program EXCEED US $100, EVEN IF IT IS FOUND THAT THIS REMEDY FAILS OF ITS ESSENTIAL PURPOSE OR IS HELD UNENFORCEABLE FOR ANY REASON.
10. Indemnity
I agree to indemnify and hold harmless McKinsey, its affiliates, and its and their respective directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including, without limitation, attorney’s fees) arising from any of the following:
- my violation of any of these Terms
- my breach of applicable law(s)
- any claim that my actions harmed a third party
- any claim that I have breached any obligation (statutory, contractual, or otherwise) that I owe to a third party, including present and/or future employer(s)
This obligation will survive the completion or termination of Qiyada Virtual program. In the event of a claim such as one described in this paragraph, McKinsey may elect to settle with the party/parties making the claim, and I shall be liable as though McKinsey had proceeded with a trial.
11. Choice of law and arbitration
These Terms are governed by laws of the Kingdom of Saudi Arabia. The offer and acceptance of these Terms is deemed to have occurred in Riyadh, Kingdom of Saudi Arabia.
I agree that any dispute, controversy, or claim arising out of or relating to these Terms, or the validity, enforceability, performance, breach, or termination hereof, shall be finally settled by arbitration by a sole arbitrator in Riyadh in accordance with the Arbitration Law of the Kingdom of Saudi Arabia. If I bring a dispute in a manner other than in accordance with this paragraph, I agree that McKinsey may seek to have it dismissed and that I would be responsible for McKinsey’s attorney fees, costs, and disbursements in doing so.
I agree that if I am unsuccessful in a dispute arising from or relating to these Terms, I will be responsible for the reimbursement of McKinsey’s reasonable attorney fees, costs, and disbursements.
12. Force majeure
I agree that McKinsey is not responsible for anything that it may otherwise be responsible for, or may suspend Qiyada Virtual program, as a result of events beyond its control, including but not limited to act of God, pandemic, epidemic, war, insurrection, riot, terrorism, crime, labor shortage (including lawful and unlawful strikes), government measures, change of law, embargo, postal disruption, communication disruption, failure or shortage of infrastructure, shortage of materials, or any other event.
13. Severability
In the event that any of these Terms is found to be unlawful or otherwise unenforceable, the remainder will continue in force as though it had been entered into without that unlawful or unenforceable provision being included. If two or more provisions of these Terms or any other agreement I may have with McKinsey are deemed to conflict with each other’s operation, I agree that McKinsey shall have the right to elect which provision remains in force.
14. Assignment
I may not assign my rights and/or obligations under these Terms to any other party without McKinsey’s prior written consent. McKinsey may assign its rights and/or obligations under these Terms to an affiliate.
15. Amendments
McKinsey may amend these Terms from time to time. When McKinsey amends these Terms, it will notify me by email. I may decline to agree to the amendments, but if I do, I must immediately cease my participation in Qiyada Virtual program.
16. Electronic communication
I agree to receive communications from McKinsey electronically and that all terms, conditions, notices, disclosures, and other communications provided electronically in connection with Qiyada Virtual program satisfy any legal requirement that such communications would satisfy if made in writing. The foregoing does not affect any statutory rights.
